Important Legal Notice - Read Carefully Before Using LeadPilot

LeadPilot is NOT affiliated with, endorsed by, connected to, or sponsored by LinkedIn Corporation or Microsoft Corporation. LinkedIn® automation carries inherent risks including temporary or permanent account restrictions or suspensions. By accessing or using LeadPilot, you acknowledge these risks and agree you are solely responsible for compliance with LinkedIn's Terms of Service. Gryffin Global IT Services Private Limited cannot guarantee your account's safety.

1. Company Information and Service Description

LeadPilot is a LinkedIn automation and outreach platform operated by Mverse360, a business unit of Gryffin Global IT Services Private Limited, a company incorporated under the Companies Act, 2013 (India). By accessing or using LeadPilot at leadpilot.mverse360.com or any associated domain (collectively, the "Service"), you agree to be legally bound by these Terms of Service ("Terms").

All references to "LeadPilot", "we", "us", "our", or "Company" in these Terms refer to Gryffin Global IT Services Private Limited operating under the Mverse360 brand.

2. Eligibility

To access and use the Service, you must:

  • Age: be at least 18 years of age; the Service is strictly not intended for minors
  • LinkedIn Account: hold an active LinkedIn account in good standing
  • Authority: have full legal authority to enter into a binding agreement on behalf of yourself or the organisation you represent
  • Legal Compliance: not be prohibited from receiving services under the laws of India or any other applicable jurisdiction
  • Not a Competitor: not be an employee, contractor, or agent of a direct competitor of LeadPilot or Mverse360

By using the Service, you represent and warrant that all of the above conditions are met. We reserve the right to terminate access at any time if we determine these conditions are not satisfied.

3. Service Description

LeadPilot provides a cloud-based and locally-agent-powered LinkedIn automation platform that enables users to:

  • Build Campaigns: define ICP targeting, persona filters, and outreach sequences to automate LinkedIn connection requests and follow-up messages
  • Use Sales Navigator: for eligible subscribers, import curated saved searches from LinkedIn Sales Navigator and execute campaign actions using user-provided ICP parameters (target accounts, geography, seniority, job function, and other targeting criteria) as campaign targeting sources
  • Manage Outreach: monitor campaign status, pause/resume/edit campaigns, and track activity through the LeadPilot dashboard
  • Schedule Demos: book personalised onboarding and strategy sessions with the Mverse360 team

4. Account Access and LinkedIn Credentials

By providing your LinkedIn username and password through the LeadPilot campaign wizard or settings, you expressly authorise us to store your credentials securely using AES-256 encryption at rest in our India-hosted Supabase database, transmitted only over TLS 1.2/1.3; to pass encrypted credentials to the LeadPilot Agent to deliver automation; and to execute campaign actions on your behalf within the limits you configure.

You remain solely responsible for: maintaining the confidentiality of your LeadPilot login credentials and LinkedIn account; ensuring you are authorised to provide LinkedIn credentials for the account used; and ensuring your use of automation complies with LinkedIn's Terms of Service at all times.

LeadPilot credential storage complies with the IT (Reasonable Security Practices and Procedures and Sensitive Personal Data or Information) Rules, 2011 under the Information Technology Act, 2000. Your credentials are classified as Sensitive Personal Data or Information (SPDI) and handled accordingly.

5. Acceptable Use Policy

5.1 Permitted Use

You may use the Service solely for lawful business outreach and lead generation purposes in compliance with LinkedIn's User Agreement and Professional Community Policies; the Information Technology Act, 2000; the Digital Personal Data Protection Act, 2023; and all applicable Indian and international laws including anti-spam, consumer protection, and electronic communications laws.

5.2 Prohibited Activities

You must NOT use the Service to:

  • Spam or Harass: send unsolicited bulk messages, harass, threaten, or engage in abusive behaviour toward LinkedIn members
  • Discriminate: target or exclude recipients based on protected characteristics under applicable law
  • Impersonate: represent yourself as another person, company, or entity without authorisation
  • Scrape Unlawfully: extract, compile, or store LinkedIn data beyond what is necessary for your permitted outreach campaign, or in violation of LinkedIn's terms
  • Exceed Limits: manually perform LinkedIn actions in parallel with the automation that cumulatively exceed your plan's daily limits
  • Circumvent Security: attempt to reverse-engineer, decompile, or otherwise circumvent any security or authentication measures of the Service
  • Misuse Data: use contact data obtained through the Service for any purpose other than lawful business outreach
  • Resell Access: sublicense, resell, or share your account with third parties without our prior written consent

5.3 Activity Limits and Safety Controls

To protect your LinkedIn account, the following daily limits apply per plan:

Warming: new accounts start at lower limits (~5 actions/day) which increase dynamically over the first 4–6 weeks to minimise account flag risk.

6. Risks, Disclaimers, and Assumption of Risk

Critical Risk Disclosure - Please Read In Full

LinkedIn actively monitors for and may restrict or permanently suspend accounts that use automation tools, even when used responsibly and within daily limits. While LeadPilot implements safety measures including activity limits, warming periods, and humanised timing variance, Gryffin Global IT Services Private Limited CANNOT guarantee that your LinkedIn account will not be flagged, restricted, rate-limited, or permanently suspended. BY USING THE SERVICE YOU EXPRESSLY ACKNOWLEDGE AND ACCEPT ALL RISKS SET OUT BELOW.
  • Account Suspension Risk: LinkedIn may temporarily or permanently suspend, restrict, or delete your account at any time for any reason including detection of automation activity
  • No Guaranteed Results: we do not guarantee any specific number of connection acceptances, message replies, leads generated, or business outcomes
  • Third-Party Platform Changes: LinkedIn may change its platform, algorithms, detection methods, API access, or Terms of Service at any time; such changes may render the Service partially or wholly inoperable
  • Data Loss Risk: in the event of LinkedIn account suspension, Service termination, or force majeure, you may lose access to campaign data, message history, and LinkedIn connections
  • Your Sole Responsibility: you are solely and entirely responsible for ensuring your use of the Service complies with LinkedIn's Terms of Service, all applicable laws, and these Terms
  • Sales Navigator Self-Declaration: by enabling the Sales Navigator feature, you self-declare that you hold an active Sales Navigator licence and accept full responsibility for compliance with LinkedIn's Sales Navigator Terms; the automation agent will access and act upon your Sales Navigator account solely based on the inputs (Saved Search name, ICP parameters) you configure

7. Billing and Payments

Payments are processed via Razorpay (primary, India) and Stripe (international). We accept major credit/debit cards, UPI, and net banking. GST-compliant tax invoices are issued for all taxable supplies under the CGST Act, 2017. Subscriptions (Starter, Growth, Pro, Scale) are billed upfront for the selected commitment period and do not auto-renew; you choose your next plan at the end of each period.

  • Upgrades: plan upgrades take effect immediately; the 7-Day Money-Back Guarantee does not reset on upgrade
  • Downgrades: plan downgrades take effect at the end of the current billing cycle; no partial refund is issued for unused days
  • Failed Payments: if a scheduled payment fails, we will attempt re-collection and notify you by email; accounts will be suspended if payment is not received within the grace period
  • Price Changes: subscription prices may change with 30 days' advance notice by email or in-app notification; continued use after the effective date constitutes acceptance

8. Refunds, Cancellations, and Money-Back Guarantee

8.1 7-Day Money-Back Guarantee

We offer a 7-day money-back guarantee for all new paid subscriptions (excluding the Kickstart Trial plan and re-subscriptions on the same plan). The 7-day window runs from the date of first successful payment, not from account creation or campaign activation. Email info@mverse360.com with subject line "Refund Request - [Your Name] - [Invoice ID]" to claim.

8.2 Cancellations

  • How to Cancel: email info@mverse360.com or use Account Settings → Subscription → Cancel Subscription in the LeadPilot dashboard
  • Effective Date: cancellations are effective at the end of the current billing period; you retain full access until that date
  • No Partial Refunds: no cancellation fees, no partial refunds for unused days beyond the 7-day guarantee period, no minimum commitment
  • Data Deletion: your data is retained for 30 days post-cancellation and then deleted or anonymised per our Privacy Policy and DPDPA 2023 retention schedule

8.3 Chargebacks

Initiating a payment chargeback or dispute without first contacting us at info@mverse360.com may result in immediate account suspension and termination pending investigation. We reserve the right to contest all chargebacks with full documentation of service delivery. Repeated or fraudulent chargebacks may be reported to relevant financial and regulatory authorities including Razorpay, RBI, and relevant payment networks.

Our refund policy complies with the Consumer Protection Act, 2019 and Consumer Protection (E-Commerce) Rules, 2020.

9. Intellectual Property and Proprietary Rights

9.1 Our Intellectual Property

All intellectual property in the LeadPilot platform - including software code, algorithms, database architecture, user interface design, visual identity, brand names (LeadPilot, Mverse360, Gryffin Global), domain names, documentation, marketing materials, and all derivative works - is owned exclusively by Gryffin Global IT Services Private Limited and/or its licensors. Protected under: Copyright Act, 1957; Trade Marks Act, 1999; Patents Act, 1970; and the Berne Convention.

9.2 Your Content and Licence Grant

You retain full ownership of your message templates, campaign copy, and ICP definitions that you create within the Service. You grant Gryffin Global IT Services Private Limited a limited, non-exclusive, worldwide, royalty-free licence to use, store, and process your content solely to operate and deliver the Service. We may use your company name or testimonial in our marketing materials only with your prior written consent.

9.3 Restrictions

Without our prior written consent, you must not:

  • reverse-engineer, decompile, or disassemble the Service
  • copy, reproduce, or create derivative works
  • use automated means to extract any portion of the Service beyond your authorised campaign functionality
  • resell, white-label, or rebrand the Service without an explicit written reseller agreement

10. Data Processing and Privacy

Our data processing practices are governed by the Digital Personal Data Protection Act, 2023 (DPDPA), the IT (SPDI) Rules, 2011, GDPR (EU 2016/679) applied globally as best practice, and our Privacy Policy available at leadpilot.mverse360.com/privacy, which is incorporated into these Terms by reference.

Data hosting is in India (Supabase India region). LinkedIn credentials are stored exclusively in India and are never transmitted in plain text. By using the Service, you also act as a Data Fiduciary with respect to the LinkedIn member data you process through campaigns, and warrant that you have a lawful basis under DPDPA 2023 and applicable law to contact the individuals targeted by your campaigns.

11. Third-Party Services and Integrations

The Service integrates with: Supabase Inc. (database, authentication; India-region hosting); Razorpay Software Private Limited (payment gateway; PCI-DSS compliant; RBI-regulated); Stripe Inc. (international payment processing); LinkedIn Corporation / Microsoft (the underlying professional network); Google Analytics; Meta Pixel; Brevo (transactional email); and Cal.com (demo scheduling).

We are not responsible for the availability, security, or practices of any third-party service. We do not sell or share your personal data with third parties for their own marketing purposes.

12. Suspension and Termination

12.1 Suspension by Us

We may immediately suspend your access to the Service in the following circumstances:

  • breach of these Terms or Acceptable Use Policy
  • conduct that violates LinkedIn's Terms of Service
  • failure to pay subscription fees
  • any suspected fraud, misrepresentation, or abuse
  • receipt of a court order or regulatory direction
  • evidence of unauthorised access to your account

12.2 Termination

Either party may terminate at any time. Upon termination: access ceases immediately; data is retained and deleted per our Privacy Policy schedule; outstanding subscription fees remain due; and Sections 9, 13, 14, and 15 survive termination.

13. Warranties, Disclaimers, and Limitation of Liability

13.1 Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE INDIAN LAW, GRYFFIN GLOBAL IT SERVICES PRIVATE LIMITED EXPRESSLY DISCLAIMS ALL WARRANTIES INCLUDING FITNESS FOR PURPOSE, UNINTERRUPTED OPERATION, LINKEDIN OUTCOMES, AND LINKEDIN ACCOUNT SAFETY.

13.2 Limitation of Liability

To the maximum extent permitted by the laws of India: we exclude all liability for indirect, consequential, special, incidental, or punitive damages including loss of profits, data, LinkedIn connections, or business opportunities. Our total aggregate liability for any and all claims shall not exceed the total subscription fees paid by you in the 3 months immediately preceding the claim. We shall have no liability for any LinkedIn account restriction, suspension, or termination.

Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded under applicable Indian law.

14. Indemnification

You agree to indemnify, defend, and hold harmless Gryffin Global IT Services Private Limited, Mverse360, and their respective officers, directors, employees, agents, licensors, and successors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from or relating to your use or misuse of the Service; any breach of these Terms; any violation of LinkedIn's Terms; any violation of applicable law including DPDPA 2023 and IT Act; any restriction or suspension of your LinkedIn account; any claim by a LinkedIn member arising from your outreach; or any claim that your campaign content infringes third-party rights.

15. Governing Law, Jurisdiction, and Dispute Resolution

  • Governing Law: these Terms are governed exclusively by the laws of India, without regard to conflict-of-laws principles
  • Jurisdiction: the courts of Bangalore, Karnataka, India shall have exclusive jurisdiction over any dispute arising under these Terms
  • Dispute Resolution: prior to initiating litigation, parties agree to make good-faith efforts to resolve disputes through written negotiation for 30 days
  • Arbitration: if unresolved, either party may refer the dispute to arbitration under the Arbitration and Conciliation Act, 1996, with seat in Bangalore, proceedings in English
  • Consumer Disputes: nothing in this clause prevents a consumer from approaching the District Consumer Disputes Redressal Commission under the Consumer Protection Act, 2019

  • Information Technology Act, 2000 - governance of electronic records, digital signatures, and cyber offences
  • IT (Reasonable Security Practices) Rules, 2011 - SPDI classification and security standards
  • IT (Intermediary Guidelines) Rules, 2021 - grievance officer; content takedown compliance
  • GDPR (EU 2016/679) - applied globally as best practice; applicable to EEA data subjects
  • UK GDPR / Data Protection Act 2018 - applicable to UK data subjects

16.2 Corporate, Financial, and Tax Laws

  • Companies Act, 2013 - corporate governance; duly incorporated
  • Central Goods and Services Tax Act, 2017 - GST invoicing; tax compliance
  • Income Tax Act, 1961 - TDS obligations; financial record retention
  • Payment and Settlement Systems Act, 2007 - payments through RBI-regulated aggregators
  • Foreign Exchange Management Act, 1999 (FEMA) - international payment compliance

16.3 Intellectual Property Laws

  • Copyright Act, 1957 - protection of software code, UI design, documentation
  • Trade Marks Act, 1999 - protection of LeadPilot™, Mverse360™, and Gryffin Global™
  • Patents Act, 1970 - reservation of rights to seek patent protection
  • Berne Convention & TRIPS Agreement - international copyright and IP protection

16.4 Consumer Protection and E-Commerce

  • Consumer Protection Act, 2019 - consumer rights; unfair trade practices; dispute redressal
  • Consumer Protection (E-Commerce) Rules, 2020 - transparent pricing; mandatory disclosures
  • Advertising Standards Council of India (ASCI) - honest and non-deceptive advertising compliance

17. Changes to These Terms

We may update these Terms to reflect changes in our practices, applicable law, or the Service. Material changes will be communicated by email to your registered address at least 14 days before the change takes effect, and by in-app notification within the LeadPilot dashboard. Your continued use after the effective date constitutes acceptance. If you do not agree, you must discontinue use and may request account closure.

18. General Provisions

  • Entire Agreement: these Terms, together with the Privacy Policy and Cancellation & Refunds Policy, constitute the entire agreement between you and Gryffin Global IT Services Private Limited with respect to the Service
  • Severability: if any provision is found invalid or unenforceable, the remaining provisions shall continue in full force and effect
  • Waiver: failure to enforce any provision does not constitute a waiver of our right to enforce it in future
  • Assignment: you may not assign or transfer your rights or obligations under these Terms without our prior written consent; we may freely assign in connection with a merger, acquisition, or sale of assets
  • Force Majeure: we shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including natural disasters, government actions, LinkedIn platform changes, or internet outages
  • Language: these Terms are prepared in the English language, which shall be the controlling language; translations are for convenience only
  • Notices: all legal notices must be sent in writing to info@mverse360.com or to our registered address
